GENERAL TERMS AND CONDITIONS (GTC) OF YOUPARTMENTS GMBH

Note: This English text is a convenience translation. The legally binding version is the German original ("Allgemeine Geschaeftsbedingungen"), available at youpartments.com. In case of any discrepancy, the German version prevails.

1. SCOPE & CONTRACTING PARTIES

1.1 These GTC apply to all contracts for the temporary provision of apartments for accommodation (accommodation contract) as well as to all related services between youpartments GmbH and the guest.

1.2 The contracting party is youpartments GmbH. Deviating terms of the guest do not apply unless youpartments has expressly agreed to them in text form.

1.3 For bookings made through intermediary platforms (e.g., Booking.com, Airbnb), the platform's terms for the intermediation apply in addition; these GTC apply to the accommodation itself.

2. RESERVATION / BOOKING

2.1 By submitting a booking request, the guest makes a binding offer to conclude an accommodation contract. The contract is formed upon booking confirmation by youpartments.

2.2 youpartments is free to decline booking requests without stating reasons, provided this does not violate statutory anti-discrimination rules (AGG).

2.3 The guest is obliged to provide truthful information about their identity and the number of persons travelling when booking.

3. CANCELLATION / WITHDRAWAL BY THE CUSTOMER / NO-SHOW

3.1 The guest may cancel free of charge up to 14 days before arrival, provided no different rate (e.g., a non-refundable rate) was agreed at the time of booking.

3.2 In the event of later cancellation or non-arrival (no-show), the agreed price remains payable. youpartments must offset saved expenses as well as income from otherwise renting out the apartment.

3.3 The receipt of the declaration in text form by youpartments is decisive for the timeliness of the cancellation.

4. ACCOMMODATION PRICES & OTHER CHARGES

4.1 The agreed prices are gross prices and include statutory value-added tax. Local levies (e.g., accommodation tax, visitor's tax) are charged in addition where applicable.

4.2 Price changes for already confirmed bookings are excluded, unless the guest subsequently requests changes to the service and youpartments agrees.

5. PAYMENT TERMS & INVOICE

5.1 Unless otherwise agreed, the total price is due in advance. Payment is processed via the payment service provider Stripe; its terms apply in addition. Credit card data is stored by Stripe, not by youpartments.

5.2 The guest may only offset against undisputed or legally established claims.

5.3 Invoices are provided electronically (by email).

6. USE OF RESERVED APARTMENTS, CHECK-IN / CHECK-OUT

6.1 Check-in is possible from 4:00 p.m., check-out until 10:00 a.m., unless otherwise agreed.

6.2 In the event of late check-out without agreement, youpartments may charge an additional fee of EUR 15-35 per commenced hour; further claims (e.g., due to a prevented subsequent rental) remain reserved.

6.3 Access data, keys and key cards are to be kept carefully and returned upon departure or deposited as instructed. In the event of loss, the guest bears the cost of replacement and, in the case of locking systems, also of the necessary reconfiguration.

7. PROVISION, SUBLETTING, USE

7.1 The apartments are provided exclusively for accommodation purposes. Subletting, re-letting or any other transfer of use to third parties is prohibited.

7.2 Use by more than the registered number of persons is permitted only with prior consent of youpartments.

8. LIABILITY OF YOUPARTMENTS

8.1 youpartments is liable without limitation for damage arising from injury to life, body or health as well as for intent and gross negligence.

8.2 For simple negligence, youpartments is liable only in the event of a breach of material contractual obligations (cardinal obligations), limited to the foreseeable damage typical for the contract.

8.3 Liability for items brought in is governed by the statutory provisions on innkeeper liability (Sections 701 et seq. German Civil Code, BGB).

8.4 The above limitations do not apply to claims under the Product Liability Act and other mandatory statutory liability.

9. SECURITY DEPOSIT

9.1 As a rule, youpartments does not charge a security deposit. In individual cases - in particular for longer stays or where there is specific cause - youpartments may request a deposit: up to EUR 250 for stays under 3 months, and up to one month's price for longer stays. The decision on this is made in each individual case by an employee of youpartments; the deposit request is communicated to the guest in text form before arrival.

9.2 Any deposit paid will be refunded promptly after proper return of the apartment and settlement of any claims, at the latest within 14 days.

10. CUSTOMER DATA & IDENTITY VERIFICATION

10.1 To perform the contract and ensure communication, youpartments collects the guest's name, email address and telephone number on a mandatory basis.

10.2 The guest is legally obliged to complete a registration form (Meldeschein) upon arrival pursuant to Sections 29, 30 of the German Federal Registration Act (Bundesmeldegesetz). To fulfil this obligation and to prevent misuse, youpartments is entitled to have a valid identification document (identity card or passport; passport for foreign guests) presented at check-in and to record the details required under registration law. Details on scope, storage period and legal bases are set out in the privacy policy.

10.3 If the guest's identity cannot be clearly established due to missing or forged documents, youpartments is entitled to withdraw from the contract or cancel the booking. The decision on this is made in each individual case by an employee of youpartments.

11. COMMUNICATION, TELEPHONE AI ASSISTANT

11.1 Communication with guests takes place via email, telephone, SMS and - insofar as the guest uses or provides this channel - WhatsApp.

11.2 For telephone availability, youpartments uses an AI-supported voice assistant that receives and categorizes requests. On request, the caller is transferred to an employee. The use of AI is disclosed at the beginning of the call.

11.3 Telephone calls are recorded only if the caller expressly consents at the beginning of the call. Without consent, no recording takes place. Details are set out in the privacy policy.

12. TERMINATION OF THE ACCOMMODATION CONTRACT

12.1 youpartments may terminate the contract extraordinarily for good cause, in particular in the event of force majeure, materially false information by the guest regarding circumstances relevant to the booking, use of the apartment for illegal activities, unauthorized re-letting, or serious or repeated breaches of these GTC despite a warning (insofar as a warning is reasonable).

12.2 The guest's right to extraordinary termination for good cause remains unaffected.

13. VOUCHERS

13.1 Vouchers are non-refundable and non-transferable to third parties. Remaining balances remain valid until the statutory limitation period and can be redeemed for follow-up bookings.

14. NO-SMOKING POLICY

14.1 An absolute smoking ban applies in all apartments; this also includes e-cigarettes and vaporizers.

14.2 In the event of a breach, youpartments is entitled to charge the costs of special cleaning, a flat rate of EUR 250; the guest is permitted to prove that no damage or substantially less damage has occurred. Further claims for damages remain reserved.

15. PROHIBITION OF PARTIES; NOISE PROTECTION; SENSORS AND VIDEO SURVEILLANCE

15.1 Noise in the apartment, in common areas and on the surrounding premises is to be avoided. The quiet period from 10:00 p.m. to 6:00 a.m. must be observed.

15.2 Parties and gatherings in the apartments are prohibited. In the event of a breach, youpartments may claim liquidated damages of EUR 1,000; the guest is permitted to prove that no damage or substantially less damage has occurred. Further claims for damages remain reserved.

15.3 Sensors for decibel measurement may be installed in apartments. These do not record voices or conversations but capture only the noise level to detect excessive noise.

15.4 Video-monitored areas may exist in common and outdoor areas (not in the apartments themselves). Video surveillance serves to protect property and the safety of guests and is indicated by signage. The recordings are stored locally on the recording device and automatically overwritten after a short period. Details (purposes, legal basis, storage period, data subject rights) are set out in the privacy policy and in the on-site signage.

16. DAMAGE OR UNAUTHORIZED REMOVAL OF INVENTORY

16.1 The guest is liable for damage to the apartment and inventory caused by the guest or their fellow travellers that goes beyond normal wear and tear.

16.2 For processing a damage case caused by the guest, youpartments may charge a processing flat rate of EUR 50; the guest is permitted to prove that no expense or a lower expense has occurred.

17. PETS

17.1 Pets are not permitted. Recognized assistance and service dogs are exempt.

17.2 In the event of a breach, youpartments may charge the costs of special cleaning, a flat rate of EUR 150; the guest is permitted to prove that no damage or substantially less damage has occurred.

18. MAINTENANCE, DUTIES OF CARE

18.1 The guest must treat the apartment and inventory with care and report any recognizable damage or defects without delay.

18.2 In the event of excessive soiling, youpartments may charge the actual costs of additional cleaning, at least a flat rate of EUR 50; the guest is permitted to prove that no expense or a lower expense has occurred.

19. INTERNET USE

19.1 The Wi-Fi provided may only be used within the framework of the statutory provisions. In particular, unlawful downloads and uploads, copyright infringements and interference with the rights of third parties are prohibited.

19.2 Passing on the access data to persons outside the registered guests is prohibited.

19.3 The guest indemnifies youpartments against claims by third parties based on unlawful use of the internet access by the guest, unless the guest is not responsible for the infringement.

20. DATA PROTECTION

20.1 youpartments processes personal data of guests in accordance with the GDPR and the German Federal Data Protection Act (BDSG). 21. FINAL PROVISIONS

21.1 The law of the Federal Republic of Germany applies. Vis-a-vis consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the state of their habitual residence.

21.2 Declarations in connection with the contract require text form (e.g., email).

21.3 If the guest is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is the registered office of youpartments.

21.4 Should individual provisions of these GTC be invalid, the validity of the remaining provisions remains unaffected.

21.5 Note pursuant to Section 36 VSBG: youpartments is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
